Terms and Conditions

Terms of use and sale

These terms of use and sale (the “Terms”) govern access to and use of the Service-SMTP service (the “Service”), as well as the purchase of the subscriptions and credits offered. Creating an account and placing an order imply full acceptance of these Terms.

1. Publisher of the Service

The Service is published and operated by Spirion, a société par actions simplifiée (SAS) with share capital of EUR 8,000, having its registered office at 149 avenue du Maine, 75014 Paris, France, registered with the Nanterre Trade and Companies Register under number 515 023 273, intra-community VAT FR93515023273 (“Spirion” or the “Provider”). 2. Definitions

  • Customer: any individual or legal entity who creates an account and/or subscribes to the Service.
  • Service: the SMTP relay and sending API operated by Spirion on French IP addresses, including the customer area, SMTP accounts, subscriptions and credits.
  • Subscription: a fixed-term (annual) plan granting a daily sending quota.
  • Credit: a prepaid volume of emails, with no expiry date, drawn down as used.

3. Purpose and description of the Service

Spirion provides the Customer with an email-sending infrastructure (SMTP relay and/or API), including sender-domain authentication (SPF, DKIM), sending quotas and delivery tracking. The Service is a best-efforts obligation: Spirion applies reasonable diligence to support deliverability but cannot guarantee inbox placement, which depends on external factors (recipient providers, the reputation of the Customer’s domain and content, anti-spam filters).

4. Account and access

Access to the Service requires creating an account with a valid email address and activating it. The Customer is responsible for keeping their credentials confidential and for all activity carried out from their account. The Customer undertakes to provide accurate information and keep it up to date.

5. Customer obligations and permitted use

The Customer undertakes to use the Service in accordance with applicable laws and these Terms. The Customer is solely responsible for the content of the messages they send and for building their recipient lists.

In particular, the Customer undertakes to comply with the Anti-spam policy, which forms an integral part of these Terms. Prohibited uses include sending unsolicited messages, using purchased, exchanged or harvested lists, and sending unlawful content.

As the sender, the Customer acts as data controller within the meaning of Regulation (EU) 2016/679 (GDPR) for their recipients’ data. The Customer is responsible for having a valid legal basis and for ensuring the information and rights of the data subjects.

6. Verification for high-volume offers

Access to Enterprise plans and high-volume credits is reserved for verified accounts. Verification is free and carried out manually by Spirion, which reserves the right to grant or refuse it in light of its anti-spam policy and the protection of its IP addresses.

7. Prices and payment

Applicable prices are those shown on the Pricing page at the time of the order. They are stated excluding tax; the applicable statutory VAT (20%) is added. Payment is made online by bank card (via our payment provider) or PayPal. The order is only fulfilled after the payment has actually been received.

Credits are prepaid and have no expiry date. Subscriptions are taken out for a one-year term.

8. Term, renewal and termination

Subscriptions are entered into for a one-year term from activation. They are not tacitly renewed: renewal results from a new order by the Customer. Expiry reminders may be sent by email.

Spirion may suspend or terminate access to the Service, without refund, in the event of a breach by the Customer of these Terms or of the Anti-spam policy, in particular where unsolicited messages are sent or where recurring spam reports are received.

9. Business customers

The Service is intended exclusively for business customers. By creating an account and placing an order, the Customer declares that they act for the purposes of their business or professional activity. Consumer protection provisions, in particular the right of withdrawal, do not apply.

10. Invoicing

An invoice is issued for each order and made available to the Customer in their customer area.

11. Liability

The Service is provided under a best-efforts obligation. Spirion shall not be liable for indirect damages (loss of business, revenue, data or reputation). In any event, Spirion’s liability, if incurred, shall be limited to the amounts actually paid by the Customer over the last twelve (12) months. Spirion is not responsible for the consequences of any non-compliant use of the Service by the Customer, nor for the content of the messages sent.

12. Availability

Spirion endeavours to ensure the availability of the Service but does not guarantee uninterrupted operation. Interruptions may occur, in particular for maintenance or in the event of force majeure.

13. Personal data

For the operation of the Service, Spirion acts as processor on behalf of the Customer within the meaning of Article 28 of the GDPR, with respect to the recipients’ data transmitted by the Customer. The processing of the Customer’s own data (account data) is described in our Legal Information.

14. Intellectual property

All elements of the Service (trademarks, logos, software, interfaces, documentation) remain the exclusive property of Spirion. No rights are granted to the Customer beyond the right to use the Service in accordance with these Terms.

15. Force majeure

Spirion shall not be liable for any failure to perform due to an event of force majeure within the meaning of Article 1218 of the French Civil Code.

16. Changes to the Terms

Spirion may amend these Terms at any time. The applicable version is the one in force on the date of the order. Material changes are notified to the Customer.

17. Governing law and disputes

These Terms are drawn up in French and English; in the event of any discrepancy between the two versions, the French version prevails. They are governed by French law. In the event of a dispute, an amicable solution will be sought before any legal action. Failing an amicable resolution, any dispute shall fall within the exclusive jurisdiction of the courts of the place where Spirion has its registered office.
